1.1. We (“The Provider”) will provide services as agreed in the accompanying proposal or statement of work (“Services”).
1.2. These Services may include access, configuration, and support for your Microsoft 365 environment, servers, and desktops (collectively “IT Environment”).
2.1. You (“The Customer”) agree to grant The Provider access to your IT Environment, including administrative privileges as necessary, in order to perform the Services.
2.2. Your existing IT team or provider will be responsible for authorising any applications or tools required to complete the Services.
3.1. All Services under this offer are available on a strictly first-come, first-served basis.
3.2. The number of seats or licenses offered is limited. Once capacity is reached, new requests will be queued or declined at The Provider’s sole discretion.
4.1. The Provider shall not be liable for any damages or losses arising from:
* The Customer’s failure to maintain an adequate security posture outside the scope of The Provider’s Services.
* Breaches caused by third-party applications, configurations, or services not provided, managed, or controlled by The Provider.
4.2. The Customer agrees to indemnify and hold The Provider harmless from any claims, damages, or expenses resulting from third-party security flaws or vulnerabilities.
5.1. The Provider will not remove or disable any of your existing security systems, applications, or configurations unless explicitly requested in writing.
5.2. The Customer acknowledges that The Provider’s responsibility is limited to the scope of Services agreed upon and does not extend to the security, maintenance, or operation of any unrelated systems.
6.1. Any issues discovered during the course of the Services that are outside the agreed scope (e.g., system failures, security breaches, or hardware malfunctions) will be subject to a separate quote or charged on a time-and-materials basis.
6.2. The Provider will either offer a quote for remediation or pass the details of the required remediation to the Customer’s IT team or third-party provider, if applicable.
7.1. Both parties agree to keep any confidential or proprietary information received from the other party in strict confidence and use it solely for the purposes outlined in these Terms & Conditions.
8.1. Neither party shall be liable for any delays or failures in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of terrorism, labor disputes, or governmental actions.
9.1. Either party may terminate the Services by providing written notice to the other.
9.2. Upon termination, The Provider shall be entitled to payment for any Services rendered up to the date of termination.
10.1. These Terms & Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which The Provider is located.
10.2. Any disputes arising under or in connection with these Terms & Conditions shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be settled in a court of competent jurisdiction.
11.1. These Terms & Conditions and any accompanying documents constitute the entire agreement between The Provider and The Customer regarding the Services and supersede any prior or contemporaneous oral or written agreements.
By engaging The Provider for Services, The Customer acknowledges that they have read, understood, and agreed to these Terms & Conditions.
